Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Rewind and the SARAI Defence API (collectively, the "Service") provided by SARAI Defence Ltd ("SARAI", "we", "us"), a company registered in England and Wales (Companies House #17121999).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.

2. The Service

Rewind is a self-hosted AI memory SDK (Python package) that enables developers to add persistent, searchable memory to AI applications. The Service includes the open-source SDK, our cloud embedding API (Pro tier), documentation, and related tooling at saraidefence.com.

Rewind is patent pending. Use of the Service grants you a limited, non-exclusive, non-transferable licence to use Rewind as permitted by these Terms. You do not acquire ownership of any intellectual property.

3. Your Data

Rewind is self-hosted. Your AI memory data resides entirely on your own infrastructure. You are solely responsible for the security, backup, and lawful use of data stored on your systems. SARAI has no access to and accepts no liability for your locally stored data.

4. Pro Subscription

The Pro tier ($9/month) gives you access to our cloud embedding API.

• →Billing is monthly. You may cancel at any time via your account dashboard.
• →Cancellation takes effect at the end of the current billing period.
• →No refunds are issued for partial months.
• →25,000 embedding queries are included per month. Overage is billed at $0.01 per 1,000 embeddings.
• →Prices may change with 30 days' notice to your registered email.

5. Acceptable Use

You agree not to:

• →Exceed the rate limit of 100 API requests per minute per API key.
• →Attempt to circumvent rate limits, access controls, or usage quotas.
• →Use the Service for any unlawful purpose or in violation of applicable law.
• →Interfere with or disrupt the Service or its infrastructure.
• →Attempt to reverse-engineer, decompile, or extract model weights or proprietary algorithms.
• →Resell or sublicence access to the API without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, at our sole discretion.

6. API Keys

You are responsible for keeping your API keys confidential. Do not share keys publicly or commit them to public repositories. You are responsible for all usage under your API keys. If you believe a key has been compromised, revoke it immediately from your dashboard and contact us at vova@saraidefence.com.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SARAI DEFENCE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9. Intellectual Property

Rewind and all associated technology, trademarks, and content are the intellectual property of SARAI Defence Ltd. Rewind is patent pending. These Terms grant you a licence to use the Service — they do not transfer any ownership rights to you.

Open-source components of Rewind are distributed under their respective licences. Check the repository for details.

10. Indemnification

You agree to indemnify and hold harmless SARAI Defence Ltd, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power failure, internet disruption, or third-party service outages.

12. Termination

You may terminate your account at any time. We may suspend or terminate your access for breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 9, 10, and 13 survive termination.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to your registered address at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
